Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the EstateMin platform, operated by Simple Legal Solutions Limited, a company incorporated in Ireland with company number 771360 (“EstateMin,” “we,” “our,” or “us”).
By accessing or using the Service, you (“Subscriber,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not use the Service. EstateMin and the Subscriber shall be together known as the Parties or individually known as the Party.
- Definitions and Interpretations
- For purposes of these Terms:
- API Integration means the technical integration between the Service and Clio’s application programming interface (API), which facilitates the exchange of Subscriber Data between the systems.
- Authorized User means any person authorized by the Subscriber to use the Service, excluding any present or former agent, representative, independent contractor, employee, servant, lawyer and any entity or person who had authority to act on behalf of the Subscriber.
- Client Data means information, content, documents, or case-related materials relating to Subscriber’s clients that are processed through the Service.
- Clio License means the Subscriber’s license provided by Themis Solutions Inc. (also known as Clio), which includes any software or services provided by Themis Solutions Inc., including but not limited to Clio Manage, practice management software, and Clio Grow, customer relationship management (CRM) and client intake software. The Clio License is required for access to and use of the Service.
- EstateMin Materials means any goods, services, software object code and source, documentation, data, trademarks or logos or information provided and/or created by or on behalf of EstateMin for the purpose of and/or in connection with the provision of the Service or the performance of any of its obligations under the Terms.
- Service means any software or services provided by EstateMin, including but not limited to access to and use of the EstateMin platform.
- Subscriber means the purchaser or user of the Service and shall also include any present or former agent, representative, independent contractor, employee, servant, lawyer and any entity or person who had authority to act on your behalf.
- Client Portal means the web-based interface within the Service that allows Subscribers to invite their clients to securely upload, view, or exchange case-related information and documents.
- Interpretation. In these Terms, unless the context otherwise requires:
- words in the singular include the plural and vice versa;
- references to a person include any individual, company, partnership, trust, or other legal entity;
- the words “including,” “include,” or “includes” shall be deemed to be followed by the phrase “without limitation”;
- headings are for convenience only and shall not affect interpretation; and
- references to statutes or laws include amendments, consolidations, and re-enactments thereof.
- For purposes of these Terms:
- Acceptance and Scope of Terms
- These Terms form a binding agreement between the Subscriber and EstateMin.
- The Service is provided solely for the use of Subscribers with an active Clio License. Those Subscribers without an active Clio License are not permitted to access or use the Service.
- In the event of a conflict between these Terms and any other written agreement with EstateMin, these Terms shall prevail, unless otherwise specifically agreed within a written agreement between the Parties
- Description of the Service
- EstateMin provides an automation platform that integrates directly with Clio through its API. The Service enables Subscribers to streamline probate processes and estate administration by automatically exchanging data with Clio.
- The Service does not function as a standalone system; it operates only in conjunction with an active Clio License.
- EstateMin does not provide legal advice, legal services, or client representation. The Service is a software tool.
- The Service shall only be used under the guidance and advice of a qualified legal professional.
- Client Portal; The Service includes access to a Client Portal, which allows Subscribers to share information with their clients. EstateMin provides the Client Portal as a technical tool only and does not monitor, validate, or review the content exchanged therein. Subscribers are solely responsible for managing client access, ensuring the accuracy of information shared, and complying with their professional and ethical obligations when using the Client Portal.
- Access and Authentication
- API Tokens – Subscriber’s access is authenticated through secure tokens issued by Clio’s API. Subscriber is responsible for managing its tokens and ensuring that Authorized Users safeguard their credentials.
- API Limits – Subscriber acknowledges that EstateMin’s access to Clio data is subject to Clio’s API usage limits and service availability.
- Responsibility for Accounts – Subscriber is responsible for all activities conducted under its account and API tokens, whether authorized or unauthorized.
- Restrictions on Use
- The Subscriber and Authorized Users shall not use the Service without maintaining an active Clio Licence.
- Circumvent or attempt to bypass authentication or API security mechanisms.
- Copy, modify, reverse-engineer, or create derivative works of the Service.
- Use the Service for unlawful purposes or in violation of applicable laws, rules, or ethical obligations.
- Interfere with the performance or integrity of the Service or its integration with Clio.
- Client Portal Use
- Subscriber Responsibility. Subscriber is solely responsible for granting, monitoring, and revoking its clients’ access to the Client Portal, and for all activity conducted through such access.
- Prohibited Uses. Clients may not upload unlawful, harmful, or infringing content to the Client Portal. Subscriber agrees to take reasonable steps to ensure compliance by its clients.
- Data Handling. Any information uploaded through the Client Portal constitutes Client Data and will be processed in accordance with Section 6 (Data, Privacy, and Confidentiality).
- Disclaimer. The Client Portal is provided “as is” for document exchange and communication purposes only. EstateMin is not responsible for the legal sufficiency of information exchanged through the Client Portal or for Subscriber’s attorney-client relationship with its clients.
- Data, Privacy, and Confidentiality
- Data Processing. EstateMin processes Subscriber and Client Data only as necessary to provide the Service.
- Data Ownership. Subscriber retains all rights, title, and interest in and to Client Data. EstateMin does not claim ownership of such data.
- Confidentiality. EstateMin will treat Client Data and Subscriber Data as confidential and will not disclose it except to provide the Service, comply with legal obligations, or as authorized by Subscriber.
- Privacy Compliance. EstateMin complies with applicable U.S. privacy requirements, including obligations under the California Consumer Privacy Act (CCPA) where relevant.
- Third-Party Services. EstateMin relies on third-party hosting, infrastructure, and analytics providers. Subscriber consents to such sub-processing relationships.
- Intellectual Property Rights
- Ownership – All intellectual property rights in the EstateMin Material and any copies thereof remain the sole property of EstateMin (or where applicable its licensors). Any intellectual property rights arising from authorised developments to the EstateMin Materials shall vest in EstateMin (or its licensors) and where relevant, the customer will assign any such intellectual property rights free of charge upon request from EstateMin.
- License - Subject to these Terms, EstateMin grants Subscriber a limited, non-exclusive, non-transferable right to use the Service solely for internal business purposes and only in conjunction with Clio.
- No rights are granted to Subscriber except as expressly set forth herein.
- Indemnification
- Subject to the Subscribers complying with 8.2, the Subscriber hereby indemnities and undertakes to keep indemnified EstateMin, from and against any and all costs, damages, liabilities or expenses incurred by EstateMin (including all costs, damages or reasonable legal expenses) in defending or settling any actions, suits, proceedings, claims or demands made or brought against EstateMin by a third party caused by, or in any way connected with unauthorised use of the Service by the Subscriber or any unauthorised third party through breach of the Terms or any other negligent or wrongful act by the Subscriber.
- Indemnification Procedure - Where a Party has an obligation to indemnify the other Party under the Agreement, the following procedure must apply: (i) upon obtaining knowledge of any claim or allegation that could give rise to the obligation to indemnify, the indemnified Party shall notify the other Party of any such claim or allegation promptly and in any case within fourteen (14) calendar days of receiving the claim, although failure to provide such notice will only relieve the indemnifying Party of its indemnification obligation to the extent that it prejudices its defence of the claim; (ii) the indemnifying Party has the sole right to control and direct the defence and/or settlement of any such claim, including without limitation the sole right to select and appoint legal counsel; (iii) the indemnified Party shall make no admissions without the other Party’s prior written consent; and (iv) the indemnified Party shall not make or agree to any settlement without the indemnified Party’s consent.
- Modifications to the Service and Terms
- Service Changes - EstateMin may modify, enhance, or discontinue features of the Service at any time, provided such changes do not materially degrade the Service’s core functionality.
- Updates to Terms - EstateMin may update these Terms from time to time. Material changes will be notified via the Service or otherwise through written communication . Continued use of the Service constitutes acceptance of the updated Terms.
- Suspension, Limitations, and Termination
- EstateMin may suspend or restrict access if Subscriber:
- Violates these Terms,
- Misuses the Service or API integration, or
- Causes a security or compliance risk.
- Subscriber may terminate use of the Service at any time by ceasing access.
- Upon termination, EstateMin may delete or disable access to Client Data within a reasonable period, subject to its data retention obligations.
- EstateMin may suspend or restrict access if Subscriber:
- Warranties, Disclaimers, and Liability Limitations
- Disclaimer. The Service is provided “as is” and “as available.” EstateMin disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- No Legal Advice. EstateMin does not provide legal advice or substitute professional legal judgment.
- Liability Cap. EstateMin’s total liability under these Terms shall not exceed the fees paid by Subscriber to EstateMin in the twelve (12) months preceding the claim.
- Exclusion. EstateMin is not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or reputational harm.
- Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles.
- Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Ireland.
- General Provisions
- Notices. Legal notices must be sent in writing to EstateMin Limited at Dogpatch Labs, CHQ, Dublin or to info@estatemin.com.
- Assignment. Subscriber may not assign these Terms without EstateMin’s prior written consent.
- Severability. If any provision of these Terms is held invalid, the remaining provisions shall remain in effect.
- Entire Agreement. These Terms constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous communications, whether written or oral, relating to the subject matter.
- Third-Party Acknowledgement and Limitations. EstateMin integrates with third-party platforms, including Clio. Subscribers acknowledge that (a) certain features of EstateMin depend on the availability and performance of Clio’s systems, and (b) Subscribers are independently responsible for reviewing and complying with Clio’s Terms of Service, available at https://www.clio.com/tos/. EstateMin shall not be liable for any delays, interruptions, limitations, pricing changes, feature modifications, data loss, or other issues arising from Clio’s platform, its policies, or its terms of use.
